S & S CRAFTSMEN, INC.
LIMITED MOULDING WARRANTY

S & S Craftsmen, Inc. warrants that its wood mouldings will be free from manufacturing defects which would render them unserviceable or unfit for their normal, recommended use.  Natural variations in the color or texture of the wood are not to be considered as defects.  S & S Craftsmen, Inc. shall have no liability under this warranty or under any implied warranties unless such mouldings have been handled, stored, finished, installed and maintained as noted below.  Furthermore, S & S Craftsmen, Inc. shall have no liability under this warranty or under any implied warranty for the finish of such mouldings.

S & S Craftsmen, Inc. agrees that within a period of one year from delivery date, to repair or replace (in the white, unfinished), without charge, any mouldings which are defective within the meaning of this warranty.  Not valid if goods are repaired or replaced without prior consent of S &S Craftsmen, Inc.

PROPER STORAGE OF MOULDINGS
Do not store mouldings in damp areas or freshly-plastered buildings.  Store mouldings on a flat, level surface in a dry, well-ventilated building.  Cover to keep clean, but allow circulation.  Relative humidity should not be less than 30% or greater than 60%.  Moulding should not be subjected to abnormal heat, extreme dryness, humid conditions, or sudden changes therein.  They should be conditioned to the average prevailing humidity of the lacality before installing.

PROPER FINISHING PROCEDURES
All wood products require proper surface preparations prior to the application of any finish.  S & S Craftsmen, Inc.’s mouldings are no exception.  To get a consistent stain color and finish, always sand all mouldings with100-120 grit sandpaper.  Never use 180 or 220 grit on raw wood; it can result in polishing, burnishing, or inconsistent stain appearance.

Always seal concealed or backing of moulding to eliminate the possibility of expansion caused by moisture absorption.  To ensure uniform color when applying dark stain, it is highly recommended that a wash coat be applied, followed by a light sanding.  It is also good practice to apply stains with the mouldings in a horizontal position.  This prevents the solvents from evaporating too quickly, which is a common cause of streaks caused by stains setting up before cleaning can be completed.

TERMS AND CONDITIONS OF SALE

STOCK SAMPLES are available at no charge for all stock poplar mouldings.

CUSTOM SAMPLES, manufactured to customer’s specifications, are available.  Contact S & S Craftsmen for a price quote.

QUOTATIONS are generated per customer takeoff, received orally over the phone, via fax transmission, or by written correspondence.  S & S Craftsmen does not accept “Plans and Specs” quotes.  All quotations are F.O.B. S & S Craftsmen, Inc., USA dollars.  Prices named herein shall be subject to any additional charge to cover any existing or future surcharges, manufacturers, sales, use, or similar tax which may be applicable, and are to be borne by the buyer.

ACCEPTANCE OF AN ORDER is subject to the receipt of a purchase order within 30 days of quotation.  All prices and terms of sale are subject to cancellation, withdrawal, or change by S & S Craftsmen without notice.

ORDER CHANGES AND CANCELLATIONS FOR STOCK MOULDINGS will be subject to a 20% restocking fee.

All CUSTOM MOULDINGS, orders requiring a special size, thickness, or material, are subject to special quotations and may not be changed or canceled after acceptance by the seller and manufacturing has been started.  Seller reserves the right to require a 50% deposit on such orders.

PAYMENT TERMS ARE NET 30 days after date of Invoice, subject to credit approval.  S & S Craftsmen, Inc.’s Invoices are not subject to retainage.  Payment of invoice in full will not forfeit the right of the buyer to request subsequent corrections or adjustments later.

A SERVICE CHARGE of 1-1/2% per month, or part thereof, will be assessed on the unpaid balance.  Should it become necessary to place buyers’ account for collection, buyer shall pay all costs thereof, including reasonable attorney’s fees.

DAMAGE OR LOSS IN TRANSIT
All shipments shall be F.O.B. S & S Craftsmen, Inc.  In all cases, the buyer shall bear all risk of loss from the time the goods are delivered to a carrier or to buyer’s truck and buyer shall file and pursue all claims against carrier arising from damage to the goods while in their possession.

CLAIMS AND COMPLAINTS
All claims for obvious defects, shortages, or delays relating to the goods sold hereunder must be made in writing to seller within five days after receipt of such goods, and seller shall not be liable for any such claims not made within such time period.  Under no circumstances shall seller be liable for incidental or consequential damages arising out of any defect, shortage, or delay or any breach of warranty and all such damages are specifically excluded.

FORCE MAJEURE
Seller shall have no liability for any delays or non-performance due to strikes or other labor disturbances, fire, flood, shortage of materials, or delays in transit.

LEGISLATION
Seller represents that, with respect to the production of the goods and/or the performance of services offered, it has fully complied with the provisions of the Fair Labor Standards Act 1938 as amended.  S & S Craftsmen, Inc. is an equal opportunity employer.

SCOPE
This instrument constitutes the entire and only agreement between the parties hereto, and any representation, affirmation of fact, and course or prior dealings, promise of condition in connection therewith, or usage of the trade not incorporated herein shall not be binding upon either party.  No waiver, alteration, or modification of any of the provisions hereof shall be binding unless in writing and signed by a specifically-authorized representative of the seller.
